A Form S-1 is a form used by public companies often prior to their initial public offering. The form allows companies to register their securities with the SEC.
The form not only contains information about the securities offered but also details the companies’ legal contingencies as they relate to the securities. Many companies not only consult accountants but also attorneys when they prepare a Form S-1.
