Once the entity is setup, it generally does not have to do much to maintain its business status, except for filing tax returns that comply with rules associated with that entity type. In some cases, however, businesses may be required to keep minutes and file reports to maintain its entity status.

How properly structuring a lease contract can affect a business

Posted on April 23rd, 2010 No Comments

When businesses lease assets, they often must draft a contract with a lessor. This contract will detail the numerous lease provisions, such as the amount of lease payments, the date of payments, and any provisions for early termination.

The details of this contract are critical because they determine whether a business treats the lease as an operating or capital lease. The type of lease will determine how the lease payments affect the company’s balance sheet and income statement, two financial statements that are important to creditors and investors.

If your company has legal questions about a lease contract, contact the Des Moines commercial lease lawyers of LaMarca & Landry, P.C., at 877-327-2600.

Can forming a corporation protect individuals from personal liability?

Posted on April 13th, 2010 No Comments

One of the advantages of forming a corporation is that the founders can be protected from personal liability. This means that creditors and investors cannot go after the executives’ personal assets if the company files for bankruptcy or is sued.

To gain corporate status, individuals must file their startup as a corporation on their tax return. To maintain this status, the company must act like a corporation with a corporate board and meetings.
